Any company that changes its registered office must notify the Ministry within 30 days of the change. A special resolution is required if the registered office is shifted to another city within the same state. If the registered office is moved from one state to another, the company must complete certain formalities, including giving a newspaper advertisement, notifying the State Government, and obtaining an NOC.

Rules to follow for changing the Address of the Registered Office of Company

When changing the registered office address of a company within the same city, the company must arrange a board meeting and pass a board resolution. Once the resolution is passed, the company must file form INC-22 with the MCA within 30 days of the board resolution date. If the registered office is being changed to a different city within the same state and ROC, the company must also file form MGT-14 along with a special resolution passed in the EGM with the MCA.

If the company wishes to change its registered office within the same state but into the jurisdiction of a different ROC (Registrar of Companies), it must apply for the approval of the Regional Director (RD) by filing form INC-23 with the necessary documents, including the special resolution. Once the RD approves the change, the company must file this confirmation with the ROC within 60 days. The ROC will confirm the change of address within 30 days of the filing.

To shift the office from one state to another, the company must file a special resolution in MGT-14 with the MCA within 30 days and make alterations in the MOA and AOA. The company must publish an advertisement in at least one vernacular newspaper and one English newspaper no more than 30 days before applying to the RD. The company must then file an application with the RD. After receiving confirmation from the RD, the company must file this confirmation with both ROCs in form INC-22 within 30 days of the order, along with the required documents.

Documents required to change the Registered Office of Company
