Surrendering a Director’s Identification Number (DIN) is crucial for individuals who are neither directors in any company nor designated partners in any LLP, and have no intention of taking such roles in the near future. To surrender a DIN, the holder must submit an application using Form DIR-5, along with a declaration stating that they have never been appointed as a director in any company and that the DIN has never been used to file any documents with any authority. Before deactivating the DIN, the government will verify electronic records. It is important to note that if a person has ever held a directorship in any company using the DIN, they cannot surrender it by filing Form DIR-5.

Change in the Address of Registered Office of a Company

Any company that changes its registered office must notify the Ministry within 30 days of the change. A special resolution is required if the registered office is shifted to another city within the same state. If the registered office is moved from one state to another, the company must complete certain formalities, including giving a newspaper advertisement, notifying the State Government, and obtaining an NOC.

  • Proof of Identity: The applicant must provide a valid identity proof such as a Voter ID card, Passport, Driving License, or PAN Card.
  • Proof of Residence: A proof of residence, such as an electricity bill or telephone bill, must be attached and it should be in the applicant’s name.
    • For Indian Applicants: Documents should not be older than 2 months from the date of filing the eForm.
    • For Foreign Applicants: Address proof should not be older than 1 year from the date of filing the eForm.
  • Affidavit: An affidavit including a declaration that the retained DIN will be updated with all associated CIN/LLPIN, if the user wishes to retain any DIN.

  • Document Translation: For documents in languages other than Hindi or English, they must be translated into Hindi or English by a professional translator. The translation must include the translator’s details (name, signature, address) and seal. For foreign nationals, a translation notarized in their home country is also acceptable.
