A director is a natural person appointed by the shareholders as specified in the company’s Memorandum of Association and Articles of Association. Depending on the company’s requirements, it may be necessary to appoint an additional director. Circumstances might also arise where a director needs to either resign from or be removed from the board.
The procedures for director resignation and director removal differ. To resign, a director must submit a notice to the company, and the Board is required to file the appropriate form with the ROC within 30 days of receiving the resignation. Additionally, the director must submit Form DIR-11 to the ROC.
